DIGITAL PRODUCT DISTRIBUTION & RIGHTS AGREEMENT

For Positioned to Prosper + Associated Digital Products

This Digital Product Distribution & Rights Agreement (the “Agreement”) is entered into between Kristi Swisher (“Company,” “we,” “us,” “our”) and You (“Licensee,” “You,” or “Your”), and governs Your rights to use, sell, distribute, modify, or profit from Company digital products including, but not limited to: online courses, templates, guides, trainings, workbooks, scripts, downloads, audio, video, and supplementary materials (the “Products”).

This Agreement applies to all digital and downloadable products purchased from Company through www.kristiswisher.com, www.kristi-swisher.com, or any affiliated checkout platform.

By purchasing, downloading, accessing, or distributing any Product, You acknowledge that You have read, understood, and agree to be legally bound by this Agreement.

1. DEFINITIONS

1.1 Personal Use License

A non-transferable, non-exclusive license for Your personal education, personal business development, and internal implementation.
No selling, sharing, distributing, or transferring is permitted.

1.2 Affiliate Rights

Permission to promote Company products and earn a commission on verified sales through a Company-approved affiliate link.
NO rights to the actual product or redistribution.

1.3 Master Resell Rights (MRR)

A license that permits You to resell the Product AS-IS, at approved price points, and keep 100% profit so long as You follow all terms listed herein.

No editing, altering, rebranding, or claiming authorship is permitted.

1.4 Private Label Rights (PLR) (Only applies if specifically granted — PTP does NOT include PLR unless stated)

A license allowing You to edit, modify, brand, and create derivative works based on the Product.

2. RIGHTS INCLUDED WITH YOUR PURCHASE

Your purchase will specify which license You receive. Unless explicitly stated:

Positioned to Prosper (PTP) includes Personal Use Only by default.

PTP + MRR License Upgrade grants Master Resell Rights, not PLR.

No PLR rights are included unless explicitly sold as an upgrade.

Affiliate Rights are separate and require acceptance into our affiliate program.

3. PERSONAL USE LICENSE TERMS

If Your order includes a Personal Use License, You MAY:

✔ Use the content for Your own learning
✔ Implement strategies in Your own business
✔ Download materials for personal use

You MAY NOT:

✘ Share login access or distribute files
✘ Sell, gift, or transfer the product
✘ Claim content as Your own
✘ Offer the product as a bonus or bundle
✘ Use the content to create competing products

Violation will result in immediate removal of access and possible legal action.

4. AFFILIATE RIGHTS TERMS

If You are accepted into the Company Affiliate Program, You MAY:

✔ Promote the product using Your assigned affiliate link
✔ Earn commissions as posted in the affiliate dashboard
✔ Use approved marketing assets provided by the Company

You MAY NOT:

✘ Misrepresent income claims
✘ Run paid ads targeting Company brand name or Kristi Swisher
✘ Resell the product directly — Affiliate promotion only
✘ Offer unauthorized bonuses that include restricted content

Company may revoke affiliate access at any time for violations.

5. MASTER RESELL RIGHTS (MRR)

If Your purchase includes Master Resell Rights, You MAY:

✔ Sell the digital product AS-IS
✔ Keep 100% of the profit
✔ Use the Company-provided sales page, graphics, and copy
✔ Sell at or above the minimum approved price
✔ Add Your own bonuses (as long as they don’t violate copyright)

You MAY NOT:

✘ Edit, alter, or modify the product
✘ Remove or change branding, logos, or copyright notices
✘ Claim authorship of the content
✘ Convert the product into PLR or give others resell rights
✘ Sell for less than the minimum approved price
✘ Distribute for free in any form
✘ Sell on marketplaces such as Etsy, Amazon, Fiverr, Creative Market

Violations will result in termination of Your license and potential legal action.

5.1 Minimum Pricing Requirement

Minimum price for Positioned to Prosper MRR: $97 USD

Licensee may charge more but may NOT charge less.

5.2 No Redistribution Transfer

You may sell the product to buyers, but you may NOT give buyers MRR rights unless the Company explicitly authorizes a downstream MRR program.

6. PRIVATE LABEL RIGHTS (PLR)

(Only applies IF specifically purchased — default is NO PLR)

If a product includes PLR, You MAY:

✔ Edit, modify, and rebrand
✔ Sell as Your own product (minimum price applies)
✔ Use in courses, workshops, or coaching
✔ Create derivative works

You MAY NOT:

✘ Resell the raw, unedited PLR file
✘ Give Your customers PLR or MRR unless explicitly permitted
✘ Use Company name, brand, or likeness after rebranding

7. INTELLECTUAL PROPERTY

All content remains the copyrighted property of Kristi Swisher, including:

Written lessons

Videos and audios

Workbooks and journals

Teaching frameworks

Declarations and prayers

Scripts and templates

Graphics and branding

Marketing copy

Any supplementary content

Under no license do You obtain ownership of the underlying intellectual property.

8. PROHIBITED ACTIONS

Regardless of license type, You MAY NOT:

✘ Claim authorship of Company-created materials
✘ Use content to create competing courses on biblical wealth
✘ Misrepresent Company teachings or brand
✘ Upload materials publicly (Google Drive, Dropbox, Facebook groups, YouTube, file-sharing)
✘ Provide unauthorized coaching based on the course content

9. ENFORCEMENT & TERMINATION

Violations of this Agreement may result in:

Immediate termination of Your license

Revocation of access to all Company platforms

Forfeiture of any commissions earned

Legal action, including damages and injunctive relief

Company reserves all rights to enforce compliance.

10. DISCLAIMERS

Licensee acknowledges and agrees:

No income guarantees are made.

Success depends on Your effort and circumstances.

Spiritual results (breakthrough, favor, etc.) are not guaranteed outcomes.

All sales are final. No refunds on MRR or digital content.

11. GOVERNING LAW

This Agreement is governed by the laws of the State of Pennsylvania.
All disputes shall be handled through binding arbitration in Lake Ariel, PA.
